Embedded in corporate policy, NEBICO has a code of conduct that states the commitment to high standards of ethical conduct that illuminate company values and inspire(s) and guide(s) the ethical behavior of managers and employees. It establishes the principles that regulate individual behaviors and sets standards above the minimum level of “compliance with the law,” e.g., prevention and disclosure of possible conflicts of interest, outside activities, and reporting incidents. The aim of the NEBICO code of conduct is to demonstrate a “good faith effort” to prevent illegal acts to reduce the financial risks associated with government compliance for ethical misconduct.

At present, Nebico Private Limited has not appointed any individual or group specifically responsible for the sustainability topics such as Human Rights, Labor Rights (/decent work), Environment and Anti-Corruption. However, in future, NEBICO plans to assign an individual or group, with direct influence at the highest levels of the organization with access to relevant information including the most senior members of the organization with decision making authority. The main objective of such individual or group would be to be responsible for each topic creating an accountability mechanism in NEBICO to enact environmental and social policies; enforce initiatives and evaluate and manage risk; and address negative impacts.

Formal structures provide leverage for companies to address social and environmental issues by providing well established communication channels and processes for engagement. Therefore, by next COP reporting period (i.e. next fiscal year 2023-24), Nebico Private Limited is determined to form one or more formal functional committee/formal structures such as management sustainability committees, board stakeholder committees, and board sustainability committees. NEBICO Cross Functional Committee (NCFC) must have direct influence at the highest level of the organization with full access to relevant information involving members at highest level of organization. These committees would be empowered with direct influence on some outcomes such as, representatives of functions, departments, or business units most relevant for addressing the risks concerned with access to relevant information and involving one or more members of senior management. “Risk assessment” focuses on how sustainability issues affect a company and encompasses risks to the business including financial risks, operational risks, transition risks, environmental risks, strategic risks, etc. This would certainly help NEBICO to track what processes are in place to identify social, environmental, and corruption risks to our business, with the end objective of guiding companies toward better performance. This is distinct from a due diligence process, which addresses potential and actual negative impacts on people and the environment. Considering the importance of these processes, Nebico Private Limited plans to establish its own Operational Processes related Human Rights, Labor Rights, Environmental and Corruption risks in our operations and the value chain (including suppliers, consumers, communities, other business relationships) to assess risk (internal and external) and to establish measures to mitigate those risks converting into opportunities. NEBICO Operational Processes will be in place within the next two years. United Nations Global Compact (UNGC), through its local network Global Compact Nepal (GCN), must provide professional expertise on these processes from formation to implementations.

Nebico Private Limited has strict Corporate Governance Policy with due diligence processes that involves investigating and evaluating its financial, legal, operational, strategic, and human resources aspects to identify potential risks and opportunities. However, Nebico plans to establish a due diligence process specifically on Human Rights Risks, Labor Rights Risks, Environmental Risks and Corruption Risks related to our own operations and the value chain including our suppliers, consumers, communities, other business relationships. At current situation, Nebico Private Limited is not able to capture any lessons on regular basis. NEBICO plans to conduct annual/biannual investigations, evaluations and on-the spot cause-effect analysis of incidents systematically. With systematic Annual/Biannual Review systems in practice, NEBICO will be able to gather information on human rights, labor rights, environment and anti-corruption regularly and effectively. The findings of the review will be used to improve internal as well as external affairs in NEBICO. NEBICO, as a business enterprise would make particular efforts, by integrating into NEBICO’s relevant internal reporting processes, to track the effectiveness of its responses to impacts on individuals and groups that may be at heightened risk of vulnerability or marginalization. NEBICO might employ tools such as performance contracts and reviews as well as surveys and audits, using gender - disaggregated data where relevant. Operational-level grievance mechanisms can also provide important feedback on the effectiveness of NEBICO’s due diligence process. A root cause is a fundamental, underlying, system-related reason why an incident occurred that identifies one or more correctable system failures.
