Inditex Sustainability Committee has the duty to oversee that environmental and social practices of the Company are aligned with the strategy and the policy set by the Company. As well as to establish and promote compliance by the Company and Group entities with the most exacting policies, regulations and standards in the field of human, labour and environmental rights in any matter that affects workers across the entire supply chain, production processes, product and the store. Regarding the corruption risks that may affect the company, the Inditex Audit and Compliance Committee shall oversee the enterprise risk management function and establish that it operates pursuant to the provisions of the policy approved by the Board as well as the process for preparing and releasing the regulated financial information, the effectiveness of the Internal Control over Financial Reporting System. Furthermore, the Ethics Committee is the internal body in charge of overseeing the proceedings of the Ethics Line and compliance with its procedure, pursuing any investigations that may be necessary. This committee works as an additional branch of Inditex in order to reach the company´s goals regarding sustainability matters. Regarding the first question: The Ethics Line Procedure is available in certain local languages, however, the information and access to the Ethics Line is available to the employees through the Group's intranet in the applicable local language. In addition, the whistleblower can report through the Ethics Line using any language and all the interaction with him/her is carried out in such language. As disclosed in the Annual Report on Remuneration (ARR) 2022, the CEO’s remuneration package is composed of a fix and variable components, both annual and long term. In respect to the annual bonus, 30% of its total weight is at the same time subject to several non-finantial metrics, such as: 1. progress in the implementation of the strategy towards global sustainability, measured against the following indicators: (i) increase in the number of sustainable items, measured against: - more sustainable raw materials (cotton, linen, polyester and cellulose fibres) - garments featuring the Join Life sustainability label; (ii) number of audits and control of discharges at dyeing facilities (wet processes) within the scope of the Zero Discharge of Hazardous Chemicals (ZDHC) Programme; (iii) % of waste reduction in respect of waste generated at Inditex facilities (HQ, logistics centres and own stores) (Zero Waste); (iv) % of packaging material collected to be recycled or reused in the supply chain (Green to Pack); (v) % of internal consumption of renewable energy at Inditex facilities (HQ, logistics centres and own stores); (vi) progress in the roll-out of the “Reusable shopping bag” project; (vii) progress in the elimination of single-use plastics from customer sales; (viii) innovation projects related to textile recyclability). 2. progress in implementing diversity and compliance programmes, which includes aspects regarding approval of antibribery policies, training and international roll out of the Compliance System and/or Criminal Risk Prevention Model. For more information on the final level of achievement in respect to the objectives settled for FY2022, please see Inditex Annual Report on Remuneration 2022, pages 24-27, which is publicly available at the Company’s corporate website. On the other hand, the CEO’s long term variable remuneration is also subject to several financial and non-financial metrics. There is currently only one Long-Term Incentive Plan (LTIP) in course (i.e., the LTIP 2021-2025) since the LTIP 2019-2023 ended on January 31 2023 and was settled last April. Both Plans are subject to sustainability metrics. The 2019-2023 LITP just settled was subject to a sustainability index comprising 4 indicators, with a total weight of 10%. Additionally, regarding the rights of women and/or girls, the Inditex Group devises equality plans with measures to promote the commitment to and effective application of the principle of equality between women and men, helping to reduce inequalities and imbalances, preventing discrimination in the workplace, guaranteeing a healthy working environment and establishing measures that help maintain a work-life balance. We also foster equality, diversity and inclusion among the workers in our supply chain. As part of the Group´s committment with the respect of human rights in its value chain and more specifically in the supply chain, Inditex develops projects such as: - Together Strong project in Türkiye, which consists in capacity building trainings in the field of women protection - Implementation of remediation plans for migrants and refugees in collaboration with local NGOs. At Inditex, we have identified the salient human rights risks in the supply chain through the corresponding due diligence process resulting in our Workers at the Centre 2019-2022 strategy. Within this framework, different projects are carried out in accordance to the seven Priority Impact Areas identified by Inditex: worker participation; living wages; gender, diversity and inclusion; occupational health and safety; protection of migrants and refugees; social protection; and protection of labour rights in the production of raw materials. Below we describe a couple of practical examples: Regarding the rights of refugees and migrants, programs such as the Worker Support Centre in Türkiye, the Sowbhagyam project in India or the Training project for migrant workers also in Türkiye are carried out. These programmes aim to ensure fair employment and recruitment practices for migrants and refugees, and to reinforce social and labour cohesion on the production facilities. Within the area of Gender, diversity and inclusion, we develop projects in the field of workers' health and protection, for example those implemented with Medicus Mundi in Morocco, or in the field of empowerment like the HERessentials project in Pakistan, an app that provides information about health, financial resilience, etc., thus placing technology in the hands of women and empowering suppliers to implement the necessary training for workers to learn about these essential topics. In 2022 we culminated our Workers at the Centre 2019-2022 strategy, which over the past four years has benefited 2.5 million workers through its multiple projects and initiatives, developed in partnership with multiple local and international organisations. / Diversity and Inclusion: Training our teams in diversity and inclusion is essential to create an inclusive culture and make spaces free of any kind of discrimination. In 2022, more than 41,000 people worldwide accessed training through one or more of the courses provided in connection with diversity and inclusion, which involved almost 20,000 training hours in this field. In 2022, our training included various in-person, e-learning and online courses, notably including “Diversity, Inclusion and Belonging”, “The Right Leader @ Inditex is inclusive”, “Unconscious Bias” and “D&I Matching HR”, among others. In 2022, we developed a long-term, global training plan with the aim of raising awareness among our entire workforce. Since 2023, this training is conducted through the D&I Channel within our corporate e-learning tool Tra!n, and it is structured in various levels: from basic level for all employees, available for the vast majority of markets this year, to more advanced levels focused on raising awareness among different positions and functions within the Company. This channel’s pilot was launched in December 2022 and has been tested internally by more than 1,500 Changemakers and D&I Champions. / Compliance: At Inditex we share a solid commitment to a corporate ethical and compliance culture, grounded on principles of integrity, honesty, transparency and responsibility. Compliance encompasses strict adherence to the external and internal applicable regulations, and how each employee applies them to our daily activities. Consequently, we continue to promote training in this area and in 2022 we launched a global compliance course, mandatory for certain of the Group’s employees, via our learning platform Tra!n. The promotion of the corporate ethical culture and the Compliance System of the Inditex Group is based on the implementation of training actions adapted to the risk profile of the different groups of employees that form part of Inditex. In this regard, in 2022 the Criminal Compliance Training Plan, that meets training requirements in the area of criminal risk prevention, was reshaped, resulting in a holistic Compliance Training Plan (the Training Plan), which includes training and awareness-raising measures aimed at covering the priority Compliance risks to which the Group is potentially exposed. The Training Plan, addressed to both Group employees and third parties (e.g. suppliers), primarily covers the following topics: Code of Conduct and Responsible Practices, Code of Conduct for Manufacturers and Suppliers, Ethics Line, Anti-corruption and integrity (Integrity Policies and Conflict of Interest Policy), Criminal risk prevention, Due diligence, Prevention of market abuse and protection of inside and/or confidential information. The Training Plan also covers the role of the Compliance function in the coordination and management of the so-called Compliance Training Framework Plan, launched in 2022. This Plan aims to organize, under a single umbrella, all training provided by the main corporate areas exposed to compliance risks. Regular internal and external audits are developed during the fiscal year in different countries and areas. Company and Workers' representatives hold regular meetings throughout the year in each country and a corporate level. In keeping with this corporate culture, in December 2020 the Board of Directors agreed to the update of Inditex's Diversity and Inclusion Policy, previously approved in 2017. This Policy is derived from the Company's Code of Conduct and Responsible Practices, whose basic tenets are, among others, respect, acceptance and equality, and it is also consistent with the Group’s Compliance and Human Rights policies. One of the main aims of this Policy is to ensure that there is no discrimination of any kind, particularly on grounds of gender, in any position and in particular when appointing members of the Board or Senior Management. Due to the company´s committment with the respect of human rights in its value chain and more specifically in the supply chain, Inditex develops projects and collaborations such as: - The Global Framework Agreement with IndusriALL Global Union able to create the communication channels between IndustriALL Global Union and Inditex, and to establish the collaboration between their affiliates in the ground and Inditex - Implementation of remediation plans for migrants and refugees in collaboration with local NGOs which strengthen our zero tolerance approach towards any kind of forced labour. At Inditex we set up the Sustainability Innovation Hub, our open innovation platform based on collaborative technology monitoring, to take an active part in the quest for new materials, technologies and processes to improve circularity, use and end of life. In 2022 we continued to work on the integration of the recommendations of the Task Force on Climate-Related Financial Disclosures (TCFD). On this regard, a comprehensive scenario analysis was conducted, enabling the company to better understand the potential impacts of climate change on the business. Furthermore, we carry out different initiatives in our own operations as well as in our supply chain to fight against climate change. For instance, regarding our supply chain: -Our Collaboration Programme for Environmental Improvement represents a climate-related initiative, also impacting on water. Inditex’s Global Energy Strategy constitutes one of the main pillars of our commitment to decarbonisation. Its purpose is to promote the rational and efficient use of energy throughout the value chain. At the same time, we propose to reduce greenhouse gas emissions and help mitigate their effects. The Group’s global energy consumption at our corporate headquarters, own factories, logistics centres and own stores amounted to 1,694,817 MWh in 2022, of which 1,636,795 MWh came from renewable sources. This implies a 13% reduction in relative energy consumption per square metre with respect to 2018, evidencing the energy efficiency efforts implemented by the Group. Furthermore, at Inditex we set the commitment to achieve 100% renewable electricity in our facilities (headquarters, logistics centres, factories and stores). Our goal was achieved this year, hence, 100% of the electricity consumed in our facilities in 2022 comes from renewable sources. As a result, we carry out different initiatives to address this, such as the following ones, among others: -The Outer Port Wind Facility in A Coruña is one of the notable future projects the Group has commenced to participate in. The goal is to be able to generate on-site the renewable energy necessary to cover the annual electricity required by our headquarters in Arteixo, as well as to supply clean electricity to the port's own infrastructures. Also with regard to renewable energy, it is worth mentioning in 2022 the Group signed a VPPA (Virtual Power Purchase Agreement) for the supply of 100% renewable electric power which promotes additionality, by generating new renewable energy capacity in Spain (Inditex Statement of Non-Financial Information 2022 - which is included in the Group's Annual Report 2022 - pages 197, 203-204). -Through our collaborative platform, the Sustainability Innovation Hub, in 2022: we teamed up with more than 200 startups and took part in more than 30 pilot tests, we also signed our first forward purchase commitment with Infinited Fiber for more than 100 million euros, and made our first equity investments such as the one made in CIRC. (Inditex Statement of Non-Financial Information 2022 - which is included in the Group's Annual Report 2022 - page 185). -We have continued our work with the suppliers in our supply chain to implement measures to improve production processes and facilities in order to make better use of available resources. In this respect, in 2022 we launched an Environmental Improvement Plan focused on reducing water and energy consumption and managing chemicals and discharges. In 2022, the review and transformation of the Model of Criminal Risk Prevention and the local Compliance models into a Global Compliance Model has commenced, with the aim of integrating the existing risk and control matrices into a corporate Matrix. This new global and integrated Compliance Model will be based on statutory requirements and international best practices and, where necessary, adapted to local regulations.
