反腐败原则 1．反腐败方面法律法规要求和公司政策公司人事行政部定期从互联网或相关部门（包括客户及其他利益相关方）获取社会责任法律法规及其他要求。法律法规包括国家和地方的、与SA8000标准有关的所有法律法规及其实施细则。其他要求主要包括客户和其他利益相关者制定的要求公司执行的守则和公约。其中包含《联合国反腐败公约》，《中华人民共和国刑法》，《中华人民共和国反不正当竞争法》，《关于禁止商业贿赂行为的暂行规定》。公司为规范业务活动、进一步完善监督制约机制，维护企业与员工的共现利益，要求业务人员遵守以下规定：（1）业务人员应保证正常的工作行为，接受公司监督部门的实时监管，不得向公司的监督人员行贿，不得和供货商串通价格获取回扣，不得收受供货商的贿赂。（2）业务人员需将采购、审价、财务、销售、结算、谈判等经济活动的一切事宜及时上报公司主管人员，并等待指示工作，不得隐瞒、欺诈从中获取利益。（3）业务人员不得以咨询费、劳务费等名义向供货商索要各种费用，不得在公司报销应由或已由供货商承担的费用。（4）业务人员不得参加可能对公正执行公务有影响的宴请和娱乐活动。（5）业务人员不得要求或接受供货商为其住房装修、婚丧嫁娶、家属和子女的工作安排以及出国等提供方便。（6）业务人员不得向供货商介绍亲属或亲友从事与其工作有关的经济活动。（7）业务人员不得为谋取私利擅自与自己的主管或供货商就有关工作问题进行私下商谈或达成默契。（8）业务人员所属部门为公司商业机密部门，应严格保守公司机密，不得向公司的其他部门或客户透露所属部门的商业秘密。 2．对供应商伙伴在反腐败方面的要求公司已制定《ME供应商行为准则》，要求供应商遵守并执行以下要求：（1）供应商应遵守所有适用的法律法规，并以符合商业道德的方式开展业务。（2）供应商应避免任何形式的勒索和贿赂；任何员工不得直接或间接向政府官员提供、承诺、给予或授权提供金钱或其它任何有价物品，以影响官方行为或获取不当利益。如果是为获取不当利益，上述要求同样适用于在商业交易中的私营商业对方。员工不得利用工作之便要求、接受等方式获得不正当利益。（3）应遵守反托拉斯和其它竞争法，例如：不参与价格垄断或串通投标和向我司披露关于利益冲突的有效信息，包括披露我司员工在供应商的任何业务中享有的任何经济利益。（4）供应商应保护我司及期业务伙伴提供的所有保密信息。 3．公司未来一年中在反腐败领域的具体目标商业贿赂（内/外）发生率：0。 4．实施劳工政策、减少劳工风险和处理违反反腐败行为的具体行动公司设有总经理信箱，员工可以随时记名或匿名关于反腐败方面的事项向公司高层反映。同时公司鼓励员工及的业务往来的公司检举揭发腐败行为，检举的受理、调查等各个环节，必须严格保密。严禁泄露检举人的姓名、部门、公司名称等情况；严禁将举报情况透露给举报人或者部门；调查核实情况时，不得出示检举材料原件或复印件，不得暴露检举人；对匿名的检举书信及材料，不得鉴定笔迹；检举材料不得随意对外借阅。公司正式发布了反腐败反贿赂控制文件，推进公司在商业活动中，反舞弊工作，加强企业内控机制，做到诚实守信，树立“守法诚信，优质服务”为核心的经营理理念。强化制度监督，推进制度反腐，加强对容易产生腐败问题的重点环节，重点岗位人员监督、管理力度，确保公司治理商业贿赂行为，承诺严格遵循公平竞争规则，引导公司管理人员及相关利益团体（如客户，供应商等）依法办事、诚实信用，自觉抵制见利忘义、损公肥私、不讲信用、等腐败现象，树立企业良好形象。公司在重点环节、重点部门人员实行预防商业贿赂承诺制，重要岗位人员个人向公司签订《反贿赂反腐败承诺书—员工》；所有与公司有业务住来的客户、供应商、服务商、承包商也必须向我公司签订一份《反贿赂反腐败承诺书—往来单位》，并作为审核供应商，服务商，承包商是否合格的条件之一。 5．公司内部反腐败责任分配公司审计部作为预防商业贿赂承诺制的监督管理部门，主要职责有：遵守国家有关政策、法律、法规和规章制度开展治理商业贿赂工作；依法行驶纪检监察的职责；加强对重要岗位、重要环节人员廉洁从业的监督和管理；贯彻落实《反贿赂反腐败承诺书》，加强从源头上预防和治理腐败，坚持标本兼治,完善制度建设，对重要岗位、重要环节人员廉洁从业情况进行真实记录。公司反腐败负责部门：审计部；总负责人：审计部经理；举报电话：0592- 5676875 6．公司处理反腐败事件的信息公司审计部门依据职责权限，对执行请款进行监督检查，并对不履行重要岗位人员《承诺书》的行为进行记录并提出整改建议，拒不执行或情节特别严重的报送董事会、审计委员会，由审计委员会进行处理或提出处理意见。对于本公司经济活动往来的公司人员违反《承诺书》的，坚决取消其供应商、服务商资格，构成商业贿赂(行贿)犯罪的交由司法机关追究刑事责任。公司鼓励员工及有业务往来的公司检举揭发腐败行为，检具的受理、调查等各个环节，必须严格保密。如：严禁泄露检举人的姓名、部门、公司名称等情况；严禁将举报情况透漏给被举报人或者部门；调查核实情况是，不得出示检具材料原件或复印件，不得暴露举报人；对匿名的检具书信及材料，不得鉴定笔迹；举报材料不得随意对外借阅。
